These Supplemental Terms and Conditions for ACQ AI ("AI Supplemental Terms") form a supplement to the Acquisition Terms and Conditions ("Terms") and are incorporated into and made a part of the Agreement formed by the Terms. Unless otherwise defined in these Supplemental Terms, all capitalized terms used in these AI Supplemental Terms have the meanings given in the Terms.
These AI Supplemental Terms include additional terms applicable to your access to and use of generative artificial intelligence features provided through this website and other Acquisition websites and subdomains (collectively the "Site"), including any AI chatbots and other GPT functionality ("AI Features"). When you accept these AI Supplemental Terms, or access or use any AI Features, you will be bound by these AI Supplemental Terms as part of the Agreement.
These AI Supplemental Terms supersede any and all written or oral prior agreements and understandings between the parties concerning the AI Features. In the event of any conflict between the Terms and these AI Supplemental Terms, these AI Supplemental Terms will prevail solely with respect to your use of the AI Features.
PLEASE READ THESE AI SUPPLEMENTAL TERMS CAREFULLY. IF YOU DO NOT AGREE TO THESE AI SUPPLEMENTAL TERMS, OR DO NOT MEET ALL OF THE REQUIREMENTS IN THESE AI SUPPLEMENTAL TERMS, YOU MAY NOT ENTER INTO THESE AI SUPPLEMENTAL TERMS OR ACCESS OR USE ANY AI FEATURES.
Your access to and use of the AI Features is subject to your compliance with these AI Supplemental Terms, the terms of the Agreement, and any other documentation, guidelines, or policies Acquisition makes available to you.
Access to certain AI Features may require that you enter into a web order form with Acquisition for those AI Features ("Order"). Unless otherwise indicated on an Order, each Order is entered into under and made subject to the terms of the Agreement. The terms of each Order apply to the AI Offerings specified on that Order.
Acquisition may charge Fees for the use of certain of the AI Features. Your access to and use of any AI Features requires the payment of any Fees specified in your Order for that AI Feature. You are responsible for paying Acquisition the applicable Fees that you may incur through your use of or access to any AI Feature. Any Fees will be due and payable as indicated in the Terms and in each applicable Order. You will pay all Fees when due.
The AI Features allow you to submit text, data, documents, or other content and materials ("Inputs") to the AI Features and receive generated text, images, or other content and materials ("Outputs") through the AI Features. You represent and warrant that:
(1) you have all necessary rights, consents, and permissions necessary to submit, upload, or otherwise provide all Inputs to Acquisition;
(2) your Inputs, and the use of your Inputs by Acquisition as permitted by the Agreement, do not and will not violate, infringe, or misappropriate any intellectual property rights, privacy rights, or other rights of any third party; and
(3) your Inputs do and will comply with all applicable laws and regulations.
You assume all risks associated with the submission, use, accuracy, and legality of Inputs.
You understand that the quality, accuracy, and completeness of any Outputs depend on many factors, including the nature and quality of the Inputs. Accordingly, Acquisition and its licensors and providers cannot and do not guarantee the generation of Outputs by any AI Feature. Due to the nature of artificial intelligence and machine learning technology, Outputs may be incomplete, contain inaccuracies or errors, be biased or offensive, or fail to meet your needs or expectations. All Outputs are for informational purposes only, and Acquisition is not responsible for any errors or omissions in any Outputs. You are solely responsible for reviewing and verifying all Outputs and should not rely on any Outputs for legal, professional, regulatory, compliance, or other purposes without independently verifying the applicability and suitability of those Outputs to your intended use. You are solely responsible for your Inputs and your use of all Outputs, and you will ensure that your Inputs, as well as your use of all Outputs, do not infringe on or violate any third-party rights and otherwise comply with all applicable laws. You agree to independently verify any Outputs before relying on those Outputs for any purpose and acknowledge that Acquisition does not guarantee continuous or error-free availability of the AI Features.
As between the parties, you retain all right, title, and interest in and to the Inputs you provide, and such Inputs will be considered a part of your User Content under the Agreement. In addition to the rights granted under the Agreement, you grant Acquisition and its affiliates a perpetual, irrevocable, non-exclusive, worldwide, royalty-free license to reproduce, modify, process, and otherwise use and exploit your Inputs (a) to perform our obligations under these AI Supplemental Terms and the Agreement, (b) to provide and operate the AI Features and the other Offerings, (c) to train, maintain, secure, and improve the AI Features and the other Offerings and to develop new Offerings, including building and training AI models, (d) to enforce our rights under these AI Supplemental Terms and the Agreement and to otherwise comply with any legal obligations, and (e) for any other lawful business purposes, provided that such use is consistent with applicable law.
Outputs may not be unique or eligible for intellectual property protection. The AI Features may generate the same or similar Outputs for you and other Users. In addition, Outputs may contain or be based on Site Content or other Content of Acquisition, its licensors and providers, or third parties. As between the parties, you own all right, title, and interest in and to any Output that is unique solely to you. All other portions of any Outputs containing or based on any other Content remain owned by Acquisition or the other applicable owner of that Content as part of the Site Content under the Agreement. Acquisition grants you a non-exclusive, royalty-free license to use the Outputs you generate through your use of the AI Features for your internal business or personal purposes, subject to these AI Supplemental Terms.
All AI Features are provided as Offerings and form part of the Acquisition Property under the Agreement. Acquisition and its licensors and providers exclusively own and retain all right, title, and interest in and to the AI Features. Acquisition reserves the right to change or discontinue the AI Features at any time.
The AI Features are powered by and may also enable or allow you to integrate with Third Party Offerings. By accessing or using any AI Features, you acknowledge and agree that:
(1) any Inputs to ACQ AI may be transmitted to, processed by, or otherwise made available to such Third Party Offerings and the providers of those Third Party Offerings ("Third Party Providers");
(2) the AI Features may enable you to connect with or authorize additional Third Party Offerings and to send, transmit, or otherwise provide Inputs to Third Party Offerings for processing, analysis, or other related purposes, and to send, transmit, or otherwise provide Inputs from the Third Party AI Offerings to ACQ AI; and
(3) your access to and use of any Third Party Offerings are governed by the applicable Third Party Terms you may agree to in connection with such Third Party Offerings.
Any Third Party Terms shall control only as to your use of the applicable Third Party Offerings covered by those Third Party Terms. The terms of this Agreement will continue to control in all other respects with respect to the Site and all other Offerings. Except as expressly stated herein, nothing in this Agreement modifies or supersedes any Third Party Terms. Acquisition does not control, endorse, or assume any responsibility or liability for any Third Party AI Providers or Third Party Offerings, their availability, operation, or security, or for any content, data, or results they generate or provide. Acquisition makes no representations or warranties regarding any Third Party AI Providers or Third Party Offerings, including, without limitation, their accuracy, reliability, availability, legality, or fitness for a particular purpose. To the maximum extent permitted by law, Acquisition disclaims all liability arising from or related to your access to or use of any Third Party Offerings, and you hereby irrevocably waive any claim against Acquisition with respect to the same.
By connecting to, enabling, or using any AI Features or Third Party Offerings, you expressly authorize Acquisition to transmit, share, or otherwise make available your User Content, including your Inputs and Outputs, as well as related metadata, to such Third Party Offerings for use, storage, and processing by such Third Party Providers. You acknowledge that such data may be processed in accordance with the applicable Third Party Terms and that Acquisition is not responsible for the privacy, security, or processing practices of any Third Party AI Providers or Third Party Offerings.
Acquisition may provide you with access to new AI Features that are in development, testing, or beta stage ("Early Access Features"). You acknowledge and agree that Early Access Features: (a) are provided "AS IS" and "AS AVAILABLE" and may contain errors, bugs, or incomplete functionality; (b) may be modified, discontinued, or never released in final form; (c) are provided without any warranty or guarantee of performance, accuracy, or suitability; and (d) should not be relied upon for any purpose. Acquisition may request your feedback on Early Access Features. Your access to Early Access Features may be subject to additional confidentiality obligations or restrictions on use communicated to you by Acquisition. To the maximum extent permitted by law, Acquisition disclaims all liability for any harm or damages arising from or related to Early Access Features or your use thereof.
Without limiting any other provision of these AI Supplemental Terms, Acquisition may use any of the Inputs and/or Outputs to operate, train, improve, and further develop the AI Features and other Offerings, provided only that Acquisition will not share your Inputs or Outputs directly with other Users.
ALL AI FEATURES AND ANY OUTPUT ARE PROVIDED TO YOU "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. To the maximum extent permitted by law, Acquisition will not be liable for any damages arising from Outputs, use of Inputs, or reliance on any AI Feature.
In addition to any other limitations on your access to or use of the Site or any Technology under the Agreement, you will not use any AI Features: (1) to develop any artificial intelligence or any machine learning models, technology, or services; (2) to mislead anyone that an Output was solely human generated; or (3) for any activity deemed to be of "high risk" (or having a similar designation) under applicable law. In addition to the foregoing, you will not use any AI Features to generate, create, or distribute any Output that: (a) is illegal, harmful, or promotes illegal acts; (b) infringes upon or violates the intellectual property or other rights of any third party; (c) is defamatory, fraudulent, or deceptive; (d) creates deepfakes or impersonates individuals without their explicit consent; or (e) includes or discloses any sensitive personal data, confidential information, or trade secrets without the express right to do so. You also agree that you will not submit personal data, personal health information, material non-public information, or other sensitive or regulated data to the AI Features.
The AI Features and the other Technology used by or on behalf of Acquisition to provide the AI Features constitute the valuable trade secrets of Acquisition and its licensors and providers. You will not, and will not permit any third party to: (1) access or attempt to access any AI Feature except as expressly provided in these AI Supplemental Terms and the Agreement; (2) use any AI Feature in any unlawful manner or in any other manner that could damage, disable, overburden or impair the AI Features or the Site or other Acquisition Property; (3) use automated scripts to collect information from or otherwise interact with any AI Feature; (4) alter, modify, reproduce, create derivative works of any AI Feature; (5) distribute, sell, resell, lend, loan, lease, license, sublicense or transfer any of your rights to access or use any AI Feature or otherwise make any AI Feature available to any third party; (6) reverse engineer, disassemble, decompile, or otherwise attempt to derive the method of operation of any AI Feature; (7) attempt to circumvent or overcome any technological protection measures intended to restrict access to any portion of any AI Feature; (8) monitor the availability, performance or functionality of any AI Feature; or (9) interfere with the operation or hosting of any AI Feature.
Your use of the AI Features is subject to the usage limitations below, in addition to any limitations specified in your Order for those AI Features. We reserve the right, in our sole discretion, to impose additional limitations on the use of any AI Features, with or without notice to you, to avoid or otherwise address any actual, potential, or suspected harm to the AI Features, the Site, or other Offerings, Acquisition, or any third party, or upon any other conduct deemed by Acquisition to be inappropriate or detrimental to the Site, Acquisition, or any third party.
Exceeding any such usage limitations may result in throttling, overage charges, or upgrade requirements, at Acquisition's sole discretion.
Acquisition may, in its sole discretion, modify these AI Supplemental Terms from time to time. Acquisition will use commercially reasonable efforts to provide you notice of any material modifications. Notice may be provided to you directly or to all Users through the Site or Platforms. Unless we make a change for legal or administrative reasons, any modification to these AI Supplemental Terms will be effective five (5) days following posting of the modified version of these AI Supplemental Terms to the Site or Platforms. Your continued access to or use of any AI Features or any Output following that date constitutes your acceptance of, and agreement to be bound by, any modified AI Supplemental Terms.
